AGREEMENT made this _______________ day of ________________, 2005, between the Minnesota Center Against Violence and Abuse, University of Minnesota, 105 Peters Hall, 1404 Gortner Avenue, St. Paul, Minnesota 55108-6142 (hereafter called MINCAVA), and __________________________________ (hereinafter called the Author) with respect to the document entitled: "____________________________________________________________________", to be put on the MINCAVA Electronic Clearinghouse website (http://www.mincava.umn.edu).

  1. Rights. The author hereby grants and assigns MINCAVA the right to place the Document only in electronic form onto the Internet. MINCAVA retains no right to print and distribute the document in paper form. The Author will retain the right to place the Document elsewhere on the Internet and to publish the document in any other form she/he finds suitable.

  2. Royalties. MINCAVA shall not charge for electronic access to the document and shall pay no royalties to the Author for its placement on the Internet.

  3. Warranties. (a) The Author warrants and represents that she/he is the sole owner of the Document and the right to place the Document on the Internet and has full right to make this Agreement, that placement of the document on the Internet is not a violation of any copyright, proprietary or personal right; that she/he has not in any manner granted, assigned, encumbered or disposed of the right to place the Document on the Internet herein granted to MINCAVA or any right adverse or inconsistent therewith; that no part of the document is libelous, obscene or unlawful, or violates any right of privacy. (b) The Author agrees to hold harmless and indemnify MINCAVA against any claim of infringement of copyright or proprietary right, or from claims of libel, obscenity, unlawfulness or invasion of privacy based upon or arising out of any matter or thing contained in the Document, or from any breach of warranties or representation herein contained.

This agreement constitutes the complete understanding of the parties and shall be interpreted according to the laws of the State of Minnesota, regardless of the place of execution. No modification or waiver of any provision hereof shall be valid unless in writing and signed by both parties.
